- Northrock Resources Ltd. (“Northrock”) is a wholly owned subsidiary of Pogo Producing Company (“Pogo”). Pogo, headquartered in Houston, was incorporated in 1970 and is engaged in the exploration, development, and production of oil and natural gas.

- At December 31, 2004, Pogo had estimated proved net reserves of 1,778 billion cubic feet equivalent of gas or approximately 116.4 million barrels of oil and 1,080 billion cubic feet of natural gas. Pogo owns interests in major oil and gas producing areas offshore and onshore in the United States, New Zealand and Canada. Pogo's market capitalization was approximately $3.1 billion on December 31, 2004.

- Northrock is a Calgary-based oil and gas exploration production company that was acquired by Pogo on September 27, 2005. Northrock focuses on three core areas West Central Alberta, Northwest Alberta and Southeast Saskatchewan.

- The acquisition of Northrock provides Pogo with greater proven reserves and a substantial prospective exploration acreage position. The Northrock acquisition is a major component of Pogo’s 2005 Strategic Plan to grow its asset base in North America in order to deliver greater value to shareholders for years to come. Pogo's common stock is listed on The New York Stock Exchange and the Pacific Exchange under the symbol "PPP".
